1. Acceptance of Terms

By accessing or using Kodah (“the Service”) operated by Kodah at kodahbranding.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Kodah is an AI-powered social media content platform that helps businesses and creators plan, generate, schedule, and publish content across social media channels. Features include AI caption and copy generation, multi-platform scheduling, brand kit management, and analytics. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. User Responsibilities

By using Kodah, you agree to:

• Provide accurate and complete account information and keep it up to date.
• Maintain the security of your account credentials. You are responsible for all activity under your account.
• Comply with all applicable laws, including copyright, privacy, and communications laws.
• Comply with the terms of service of any social media platforms you connect to Kodah.

You own your content. Kodah does not claim ownership of the content you create, upload, or publish through the Service. By using the Service, you grant Kodah a limited, non-exclusive license to process and transmit your content solely to provide the Service.

4. Prohibited Uses

You may not use Kodah to:

• Send spam, unsolicited messages, or engage in any form of automated bulk messaging not permitted by social platforms.
• Violate any local, state, national, or international law or regulation.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Distribute malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system.
• Scrape, crawl, or extract data from the Service without our express written permission.
• Circumvent, disable, or interfere with security features of the Service.
• Use the Service to generate content that is defamatory, obscene, hateful, or otherwise objectionable.
• Resell or white-label the Service without a separate written agreement with Kodah.

5. Payment Terms

Kodah operates on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All fees are in USD and are exclusive of applicable taxes.

• No Refunds: Payments are non-refundable. If you cancel your subscription, you will retain access to the Service through the end of your current billing period, but no refund will be issued for the remaining days in that period.
• Price Changes: We may change subscription prices with 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new price.
• Failed Payments: If a payment fails, we may suspend your account until payment is resolved. We will attempt to notify you before suspension.

6. Termination

You may cancel your account at any time through your account settings. Kodah may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion, with or without prior notice. Upon termination, your right to use the Service ceases immediately. Your data will be deleted within 30 days per our Privacy Policy.

7. Intellectual Property

The Service, including its design, code, trademarks, and proprietary features, is owned by Kodah and protected by intellectual property law. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission. Nothing in these Terms transfers any intellectual property rights to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING ALL CONTENT BEFORE PUBLISHING.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KODAH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO KODAH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Kodah and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you publish through the Service.

11. Governing Law

These Terms are governed by the laws of the State of Louisiana, USA, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Louisiana. You consent to personal jurisdiction in those courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
